1. Acceptance of Terms

These Terms of Service ("Terms") form a binding agreement between you (the "Customer," "you," or "your") and PowerConnect.AI, a BHC Global company ("PowerConnect.AI," "we," "us," or "our"), governing your access to and use of powerconnect.ai and its subdomains (the "Site"), our AI-powered agent assist, voice, chat, and customer insight products (collectively, the "Platform"), and any related services, demos, or support we provide (together, the "Services").

By accessing the Site, creating an account, clicking "I agree," signing an order form that references these Terms, or otherwise using the Services, you accept these Terms on behalf of yourself and, if applicable, the organization you represent. If you do not agree to these Terms, you may not access or use the Services.

2. Description of Services

PowerConnect.AI provides an AI-powered customer experience platform purpose-built for utility and energy companies, including products such as Agent Assist, Voice AI, Chat AI, Energy & Usage Insights, Knowledge AI Center, Mobile 360, Dispatcher 360, Billing Exception 360, and the embedded PCAI conversational assistant, along with related dashboards, analytics, and integrations with customer information systems (CIS) and other utility platforms.

We may add, modify, or discontinue features of the Services at any time. We will use commercially reasonable efforts to notify Customers of material changes that significantly reduce functionality under an active subscription.

3. Eligibility & Business Use

The Services are designed for use by businesses, utilities, and other organizations, and are not directed to consumers. By using the Services, you represent that you are at least 18 years old, are acting in a business capacity on behalf of an organization you are authorized to bind, and that your use of the Services complies with all applicable laws and regulations.

4. Accounts & Access

To use certain parts of the Services, you or your organization's administrator will need to create an account and provision user access. You are responsible for maintaining the confidentiality of login credentials, for all activity that occurs under your account, and for promptly notifying us of any unauthorized use or security incident involving your account.

We may suspend or restrict account access where we reasonably believe it is necessary to protect the security or integrity of the Services, other customers, or third parties.

5. Acceptable Use

When using the Services, you agree not to:

• Use the Services to violate any applicable law, regulation, or third party's rights, including privacy, telecommunications, or consumer protection laws applicable to your customer interactions;
• Reverse engineer, decompile, or attempt to derive the source code of the Platform, except as permitted by law;
• Resell, sublicense, or make the Services available to any third party outside your organization without our prior written consent;
• Upload or transmit malicious code, or attempt to probe, scan, or breach the security of the Services;
• Use the Services to build or train a competing product, or to benchmark the Services for a competitor; or
• Interfere with or disrupt the integrity or performance of the Services or the data contained within them.

6. Subscriptions, Fees & Billing

Paid access to the Services is provided under the pricing plan, order form, or master services agreement agreed between you and PowerConnect.AI. Except as otherwise stated in an applicable order form, fees are billed in advance on a recurring basis, are non-refundable, and are exclusive of applicable taxes, which you are responsible for paying.

We may change our published pricing prospectively for future subscription terms, with advance notice to active Customers.

7. Free Trials & Demos

We may offer a free trial, sandbox, or live demonstration of the Services. Trials and demos are provided "as is," may be limited in functionality, and may be modified or discontinued at any time without liability. No credit card or payment is required to start a standard free trial unless stated otherwise at signup.

8. Customer Data & Privacy

"Customer Data" means data and content that you or your end users submit to, or that is generated through your use of, the Services, including customer account records, billing data, call transcripts, and chat interactions. As between the parties, you retain all right, title, and interest in Customer Data.

You grant PowerConnect.AI a license to host, process, transmit, and use Customer Data solely to provide, maintain, secure, and improve the Services, and as otherwise permitted by your agreement with us. Our collection and use of personal information is further described in our Privacy Policy, which is incorporated into these Terms by reference.

You are responsible for ensuring you have the necessary rights and consents to share any personal information of your customers or end users with us, including any disclosures or consents required for call recording, monitoring, or AI-assisted interactions under applicable law.

9. AI Features, Voice & Chat Interactions

The Services use artificial intelligence, natural language processing, and automated voice and chat technology (including the PCAI assistant) to summarize interactions, suggest responses, transcribe calls, and answer end-user questions. AI-generated outputs are provided for assistance purposes and may contain inaccuracies; you are responsible for reviewing AI-generated content before relying on it for billing, compliance, or other consequential decisions.

Where the Services record, transcribe, or monitor calls or chats on your behalf, you are responsible for providing any legally required notices or obtaining any consents from your end users regarding such recording, monitoring, or automated processing.

10. Third-Party Integrations

The Services may integrate with third-party customer information systems and platforms (such as Oracle, SAP, Harris, NorthStar, Cayenta, or Jomar) and other third-party tools you connect to your account. We are not responsible for the availability, accuracy, or practices of third-party services, which are governed by their own terms and policies.

11. Intellectual Property

PowerConnect.AI and its licensors retain all right, title, and interest in and to the Platform, Site, and Services, including all related software, models, designs, and trademarks. Except for the limited rights expressly granted to you to access and use the Services, no other rights are granted, whether by implication, estoppel, or otherwise.

We welcome feedback and suggestions about the Services. You grant us a perpetual, royalty-free license to use any feedback you voluntarily provide to improve our products, without any obligation to you.

12. Confidentiality

Each party may have access to non-public information of the other party in connection with the Services ("Confidential Information"). Each party agrees to use the other party's Confidential Information only as necessary to perform under these Terms and to protect it using at least the same degree of care it uses to protect its own confidential information, but no less than a reasonable degree of care.

13. Disclaimer of Warranties

The Services are provided "as is" and "as available." To the maximum extent permitted by law, PowerConnect.AI disclaims all warranties, express or implied, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement, and any warranty arising from course of dealing or usage of trade. We do not warrant that the Services will be uninterrupted, error-free, or that AI-generated outputs will be complete or accurate.

14. Limitation of Liability

To the maximum extent permitted by law, neither party will be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenues, data, or goodwill, arising out of or related to these Terms or the Services, even if advised of the possibility of such damages.

Except for breaches of confidentiality, infringement of intellectual property rights, or a party's indemnification obligations, each party's total aggregate liability arising out of or related to these Terms will not exceed the amount paid or payable by you to PowerConnect.AI for the Services in the twelve (12) months preceding the event giving rise to the claim.

15. Indemnification

You agree to indemnify, defend, and hold harmless PowerConnect.AI and its officers, employees, and affiliates from and against any claims, damages, liabilities, and expenses (including reasonable attorneys' fees) arising out of your misuse of the Services, your Customer Data, or your violation of these Terms or applicable law.

16. Term, Suspension & Termination

These Terms remain in effect for as long as you use the Services or for the term set out in your applicable order form. We may suspend or terminate access to the Services for material breach of these Terms that is not cured within a reasonable period after notice, or immediately where necessary to prevent harm to the Services, other customers, or third parties.

Upon termination, your right to access the Services will end, and we will make Customer Data available for export for a reasonable period as described in your agreement, after which it may be deleted in accordance with our data retention practices.

17. Governing Law & Disputes

These Terms are governed by the laws of the State of New York, without regard to its conflict of laws principles. Any dispute arising out of or relating to these Terms or the Services will be subject to the exclusive jurisdiction of the state and federal courts located in New York, and each party consents to personal jurisdiction and venue there.

18. Changes to These Terms

We may update these Terms from time to time to reflect changes to our Services or for legal, regulatory, or operational reasons. We will post the updated Terms on this page and revise the "Last updated" date above. Material changes will be communicated to active Customers, and continued use of the Services after changes take effect constitutes acceptance of the revised Terms.

19. Miscellaneous

If any provision of these Terms is found unenforceable, the remaining provisions will remain in full force and effect. These Terms, together with any order form or master services agreement between the parties, constitute the entire agreement between you and PowerConnect.AI regarding the Services and supersede any prior agreements. You may not assign these Terms without our prior written consent; we may assign these Terms in connection with a merger, acquisition, or sale of assets, such as our acquisition by BHC Global.
